Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Complyant platform and services ("Service") provided by Complyant ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you have read, understood, and agree to these Terms. If you are using the Service on behalf of a brokerage or other organization, you represent that you have authority to bind that organization to these Terms.

2. Account Responsibilities

You are responsible for:

Maintaining the confidentiality of your account credentials
All activity that occurs under your account
Ensuring that the information you provide is accurate, current, and complete
Notifying us immediately of any unauthorized access to your account

Brokerage administrators are responsible for managing user access within their organization and ensuring that only authorized personnel have access to sensitive compliance and financial data.

3. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose
Attempt to gain unauthorized access to any part of the Service or its related systems
Interfere with or disrupt the integrity or performance of the Service
Upload malicious code, viruses, or harmful content
Use the Service to store or transmit information that violates any applicable law or regulation
Reverse engineer, decompile, or disassemble any aspect of the Service
Share your account credentials or allow unauthorized third parties to access the Service through your account

4. Intellectual Property

The Service, including its design, features, software, and documentation, is owned by Complyant and protected by Canadian and international intellectual property laws. You retain ownership of the data you upload to the Service. We do not claim ownership of your brokerage data, transaction records, or documents.

You grant us a limited licence to use your data solely for the purpose of providing and improving the Service.

5. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance, deploy updates, or experience unplanned outages. We will make reasonable efforts to notify you of planned downtime in advance.

6. Limitation of Liability

To the maximum extent permitted by law, Complyant shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Service.

The Service is a compliance workflow tool and does not constitute legal, financial, or regulatory advice. You are responsible for ensuring your brokerage's compliance with all applicable laws and regulations, including RECO requirements and FINTRAC obligations.

7. Indemnification

You agree to indemnify and hold harmless Complyant, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

8. Termination

We may suspend or terminate your access to the Service at any time if you violate these Terms or if we determine that your use poses a risk to the Service or other users. You may close your account at any time by contacting us.

Upon termination, your right to use the Service ceases immediately. We will retain your data for the period required by applicable law and our data retention policies, after which it will be securely deleted.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario.

10. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
